Acceptance of terms

By accessing or using the Site you confirm that you are at least 18 years old, can form a binding contract, and accept these terms together with our Privacy Policy and Disclaimer.

Our services and service agreements

The Site describes our medical billing, coding and revenue cycle management services. The Site is informational. It is not an offer that you can accept by using it. Services are provided only under a signed written agreement with us and, where we handle protected health information, a business associate agreement. If these terms conflict with a signed agreement, the signed agreement controls for the services it covers.

Pricing information

Prices on the Site are published as a guide. The monthly fee is determined by a practice's monthly insurance collections, as shown in the pricing tiers. Final fees, billing dates, payment terms, taxes and any special arrangements are set out in your written agreement. We may change published pricing at any time, and changes do not affect an agreement already in force except as that agreement allows.

Acceptable use

You agree not to:

  • use the Site in violation of any law or regulation;
  • attempt to gain unauthorized access to the Site, its servers or connected systems;
  • interfere with or disrupt the Site, including through automated scraping, overloading or malicious code;
  • impersonate any person or organization or misrepresent your affiliation;
  • submit protected health information or other sensitive patient data through the Site.

Intellectual property

The Site's text, design, graphics, logo, layout and other content belong to Codentra or its licensors and are protected by intellectual property laws. You may view the Site and print or save pages for your own internal, non-commercial use. You may not copy, republish, modify, distribute or create derivative works from the Site without our written permission.

No guarantee of results

We work to improve accuracy and collections for our clients, but reimbursement depends on payers, patient eligibility, documentation and factors outside our control. Nothing on the Site guarantees any particular outcome. Please see our Disclaimer for more detail.

Third-party links and services

The Site may link to or rely on third-party websites and services. We do not control them and are not responsible for their content, availability or practices. Using them is at your own risk and subject to their terms.

Disclaimer of warranties

To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, secure or free of errors.

Limitation of liability

To the fullest extent permitted by law, Codentra and its owners, officers, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of or inability to use the Site. Our total liability for any claim relating to the Site is limited to one hundred U.S. dollars ($100). This section does not limit liability that cannot be limited by law, and it does not govern services provided under a separate signed agreement.

Indemnification

You agree to defend and hold harmless Codentra and its owners, officers, employees and contractors from claims, losses and expenses, including reasonable attorneys' fees, arising out of your misuse of the Site or your violation of these terms.

Governing law and venue

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. You agree that any dispute arising from them or from your use of the Site will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction.

Suspension and termination

We may suspend or restrict your access to the Site at any time, with or without notice, if we believe you have violated these terms or if needed to protect the Site or others.

Changes to these terms

We may revise these terms from time to time. The effective date at the top of this page shows the latest version. Continued use of the Site after changes are posted means you accept them.

General provisions

If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. These terms, with the Privacy Policy and Disclaimer, are the entire agreement between you and us about use of the Site.
